TERMS AND CONDITIONS OF SERVICE
SOMALI DEVELOPMENT AND RECONSTRUCTION BANK
Effective Date: 11 April 2025

SECTION 1: DEFINITIONS

  1. Bank: Refers to the Somali Development and Reconstruction Bank and its subsidiaries, successors, and assigns.
  2. User: Any individual, entity, or organization that accesses, uses, or interacts with the Bank’s Services.
  3. Services: All non-financial products, resources, and advisory services provided by the Bank, including but not limited to informational content, development advisement, and technical support.
  4. Agreement: These Terms and Conditions and any ancillary agreements between the Bank and the User.
  5. Confidential Information: Non-public information disclosed by the Bank or the User in connection with the Services.

SECTION 2: SCOPE OF SERVICES

  1. The Bank provides Services in accordance with Somali laws, regulations, and institutional policies.
  2. The Bank reserves the right to modify, suspend, or terminate Services with 30 days’ prior written notice to Users. Modifications will be published on the Bank’s official website.
  3. Collaboration with third-party institutions for Service delivery is permitted, provided such partnerships comply with Somali law.

SECTION 3: ELIGIBILITY AND USER RESPONSIBILITIES

  1. Eligibility:
    • Individuals must be at least 18 years old and possess legal capacity under Somali law.
    • Entities must be duly registered and operational under Somali law.
    • The Bank may require verification documentation (e.g., government-issued ID).
  2. User Obligations:
    • Comply with all Somali laws, regulations, and Bank policies.
    • Provide accurate, complete, and updated information.
    • Safeguard access credentials (e.g., passwords) and promptly report unauthorized account activity.

SECTION 4: CONFIDENTIALITY AND DATA PROTECTION

  1. The Bank shall protect Confidential Information and User data under the Somali Data Protection Act and applicable laws.
  2. User data is processed only for purposes outlined in the Bank’s Privacy Policy.

SECTION 5: INDEMNIFICATION

  1. Users agree to indemnify the Bank against losses, claims, or liabilities arising from:
    • Breach of this Agreement.
    • Violation of Somali laws or third-party rights.

SECTION 6: LIMITATION OF LIABILITY

  1. The Bank is not liable for:
    • Indirect, incidental, or consequential damages (e.g., loss of profits, data).
    • Actions of third parties linked to or collaborating with the Bank.
  2. The Bank’s liability is limited to the maximum extent permitted under Somali law.

SECTION 7: FORCE MAJEURE

  1. Neither party is liable for failure to fulfill obligations due to unforeseeable events beyond reasonable control, including:
    • Natural disasters, pandemics, or armed conflict.
    • Government actions or regulatory changes.

SECTION 8: GOVERNING LAW AND DISPUTE RESOLUTION

  1. Governing Law: This Agreement is governed by the laws of the Federal Republic of Somalia.
  2. Dispute Resolution:
    • Parties shall first attempt to resolve disputes through good-faith negotiations.
    • Unresolved disputes shall be submitted to the competent courts of Somalia.

SECTION 9: TERMINATION

  1. Either party may terminate this Agreement with 30 days’ written notice.
  2. Termination does not affect rights or obligations accrued prior to termination.

SECTION 10: MISCELLANEOUS

  1. Amendments: Revisions to this Agreement require written approval from the Bank and the User.
  2. Notices: Official communications must be delivered via email, registered mail, or courier to addresses provided by the parties.
  3. Severability: If a provision is invalid, the remainder of the Agreement remains enforceable.
  4. Entire Agreement: This document supersedes all prior agreements between the parties.

 BY ACCESSING OR USING THE BANK’S SERVICES, THE USER ACKNOWLEDGES AND AGREES TO THESE TERMS AND CONDITIONS.
